Kansas asks for a report every second year, not every year. Which year is yours depends on the year you filed. File in an odd year and you report in odd years. File in an even year and you report in even ones. Always by April 15. The gap is the risk.

The report is a member list, not a formality. K.S.A. 17-76,139(c) makes every Kansas LLC name each member who owns 5% or more of the capital, with an address for each. Section 5 of form ILC asks for the address where that member can regularly be found. The filing is public. A resident agent takes your name off the agent and office lines and does nothing about section 5.

The Secretary of State keeps only two ongoing rules for a registered business. Your resident agent is one. In the state's own words, a business must keep its resident agent and registered office current, and file the information report on time. The rest comes from other offices.

Miss the report and the window is short. You get three months to file late. After that the LLC forfeits. Kansas will then take no other document from you until you reinstate. Coming back costs $230 for one missed report, more than the $85 it cost to start.

So the job here is narrow and long. Accept legal papers at a real Kansas street address, pass on what the state sends, and still be there in two years when the report falls due. Test a service against that last part.

1. File the Articles of Organization, form DL, with the Kansas Secretary of State. Online costs $85 and paper costs $90.
2. Apply for a federal EIN through the IRS. It is free and you can do it as soon as the Articles are approved.
3. Open a business bank account. Kansas banks want the Articles and the EIN together.
4. Write an operating agreement. It is not filed with the Secretary of State and no Kansas filing on this list asks for it. It is still the document that settles who owns what when members disagree.
5. Register with the Kansas Department of Revenue if you will collect sales tax or pay wages.
6. Put your first Information Report on the calendar, due April 15 of your odd or even year, $90 online. Then set it again two years out.
