The last warning goes to your agent, not to you. Miss three annual reports in a row and the state revokes your articles of organization. R.S. 12:1308.2 requires 30 days of written notice first. It goes by US mail to the last agent on record. Not email. Not the address on your articles. The agent. Revocation also locks your company name away for three years, from you too.

A national agent has to name two Louisiana people. R.S. 12:1308(A)(2)(b) only lets a company act as your agent if it keeps a certificate on file with the Secretary of State naming at least two individuals at its Louisiana address, each able to accept process. Louisiana's annual report asks for more addresses than most states do. R.S. 12:1308.1 wants the registered office, every agent, and every manager or member. Each one needs a street address. A post office box will not do. The report is due on your anniversary date of organization, every year, and all of it is public. A commercial agent clears one line of that. It does not clear the rest. Worth knowing before you buy privacy you are not fully getting.

The franchise tax is gone. Louisiana repealed it for periods that begin on or after January 1, 2026, per the Department of Revenue. So the $110 initial tax this page once told you to budget for no longer exists. The old rule sat here until August 2026 and we have pulled it. What replaces it is Act 921 of the 2026 session, which lifts the Secretary of State's fees on October 1.

1. Confirm the Initial Report filed with your Articles of Organization. Louisiana will not take the articles without it. The Secretary of State's online CORA filing bundles the two. A paper filing is worth checking.
2. Get your federal EIN from the IRS. It is free at irs.gov. You need it for the bank account and your state tax registrations.
3. Open the bank account in the LLC's legal name. Bring the stamped Articles of Organization, the EIN letter, and your operating agreement. Most Louisiana banks want all three.
4. Diary the anniversary date, not the month. R.S. 12:1308.1 sets the report deadline at the anniversary of organization. Three missed years in a row triggers revocation. Set a reminder 30 days out.
5. Register with the Louisiana Department of Revenue if you will collect sales tax or hire staff. The state sales rate is 5% through the end of 2029. File through LaTAP.
