What Makes a Good LLC Service for Mississippi Founders

Every Mississippi business filing goes through the Secretary of State's online system. Paper still works. You can print a completed form and mail it with a check, but the state warns that paper registrations take significantly longer. So every service here files electronically, and turnaround lands in much the same place.

The state charges $50 to file and $0 for the annual report. Both come from the fee schedule. That same schedule prices a foreign LLC at $250 to register and $250 for every report after. A foreign LLC just means one formed in another state. Forming in Wyoming does not save you the paperwork. It swaps a free annual report for a $250 one.

Mississippi asks less about you than most guides claim. Section 79-29-201 wants three things on the certificate of formation. The company name. The registered agent details from Section 79-35-5(a). A dissolution date, if you want one. No member, manager or organizer appears on that list. The exposure is all in the agent line. Hire a commercial agent and only that company's name is filed. Act as your own and the statute puts your name, street address and email address on the record.

Mississippi's sales tax is 7 percent. That is among the highest headline rates in the Southeast, and the state applies it broadly. Sell taxable goods and you register with the Department of Revenue before you collect a dollar.

What to Do After You File Your Mississippi LLC

  1. Get your EIN from the IRS. It is free. You need it to open a business bank account and to hire anyone.
  2. Register with the Mississippi Department of Revenue if you sell taxable goods or services. The 7 percent sales tax is broad. Once you register, you collect it and remit it.
  3. Confirm your registered agent agreed. The appointment is a legal affirmation under Section 79-35-5(b) that you notified them and they consented. Name someone without asking and they owe your company nothing. Get it in writing.
  4. File your annual report between January 1 and April 15 through the Secretary of State's portal. It costs $0. Miss it and the state can dissolve your LLC.
  5. Skip the federal Beneficial Ownership Information (BOI) report. FinCEN exempted every company created in the United States in an interim final rule published 26 March 2025. A final rule made that permanent on 14 August 2026. A domestic Mississippi LLC files nothing. Only entities formed under foreign law and registered here still report. A letter asking for a fee to file one is a scam, and FinCEN says so.
  6. Check with your city or county clerk about local licences. Mississippi has no general state business licence. Plenty of towns require their own permit.

Mississippi LLC Tax Overview

Mississippi taxes the first $10,000 of taxable income at 0 percent. Above that it is a flat 4 percent for 2026. The rate was 4.4 percent in 2025, and it drops to 3.75 percent in 2027. The 5 percent top rate is gone. So is the 4 percent bracket that used to sit below it. An LLC passes its profit through to the members' own returns, so that flat rate is what a Mississippi owner pays the state.

Hidden Costs to Watch Out For in Mississippi

  • Foreign LLC annual report - $250 a year. A Mississippi LLC pays $0. This one fee decides whether forming out of state is worth it.
  • Foreign LLC registration - $250. That is five times the domestic filing fee.
