What Makes a Good LLC Service for Colorado Founders

Colorado never puts your members or managers on the Articles of Organization. The form asks for the company name, the office address, the registered agent, and the true name and mailing address of whoever files it (C.R.S. 7-80-204). That last line is the catch. Owners stay off the public record. The filer does not, which is why founders who want privacy have a service file for them, and it is the whole of what a Colorado registered agent package is selling on the privacy side.

A good standing certificate is free. You pull it from the Secretary of State's site whenever a bank or a landlord asks for one. The state fee schedule lists it at no charge online.

Colorado has no franchise tax. There is no general state business license either. That leaves a $50 filing fee and a $25 Periodic Report each year, and that is the whole of what the state charges an LLC.

What to Do After You File Your Colorado LLC

  1. Get your EIN from the IRS. It is free. You need it before a bank will open a business account.
  2. Appoint a registered agent with a street address in Colorado. The agent is a person aged 18 or over who lives in the state, or a company with a place of business here. A PO box will not do.
  3. File the Periodic Report. It costs $25 online. The window opens two months before your anniversary month and shuts two months after it. File late and the state adds $50. Keep ignoring it and the company goes delinquent.
  4. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025, so a Colorado LLC files nothing. A final rule made that permanent on 14 August 2026. Only companies formed abroad still report. A letter demanding a fee to file one is a scam, and FinCEN says so.
  5. Check your city. The state has no general business license, but Denver, Boulder and Colorado Springs each set their own rules. Denver wants a general license for most trading.

Colorado LLC Tax Overview

Colorado taxes pass-through income at one flat rate. The rate moves. It was 4.4% for 2022 and 2023, fell to 4.25% for 2024, and is back at 4.4% for 2025. The Department of Revenue prints the rate for each year in its individual income tax guide. Check the year you are filing, not the year you formed. There is no franchise tax, so the $25 Periodic Report is your only repeating state charge.

Hidden Costs to Watch Out For in Colorado

  • Late Periodic Report - A late report costs $50 on top of the $25 fee. It lands the day the window shuts.
  • Reinstatement - Bringing a delinquent LLC back costs $100, plus every report fee you skipped. This is the expensive one.
  • Name reservation - Reserving a name before you file costs $25. It holds the name for 120 days.
  • Foreign registration - Registering an out of state LLC to trade in Colorado costs $100. That filing is a Statement of Foreign Entity Authority, not a second formation.
