Your agent's name and street address sit in New Jersey's public business record. Anyone can pull a status report on your LLC through the state's Business Records Service and read both. It stays on file. Put your house on the certificate of formation and your house is what strangers find.

The state does not close your LLC the moment you fall behind. Under N.J.S.A. 42:2C-53, two missed annual reports are only a ground for action. The Division of Revenue then has to write to your registered office. You get 60 days from that notice to fix the problem. Only then does the LLC go on the inactive list, and that one letter is the entire warning.

The inactive list is not the end either. The same section says the LLC continues in existence and may wind up its affairs. Subsection e adds that inactivation does not end your agent's authority to accept service of process. You can still be sued while inactive. The papers still go to your agent.

1. File your Business Registration Application, form NJ-REG. It is a separate filing from your certificate of formation. It is how you get on the books with the Division of Taxation.
2. Apply for a federal EIN from the IRS. It is free. You need it to open a bank account, hire employees, and file taxes.
3. Open a dedicated business bank account. Most New Jersey banks ask for the EIN, the certificate of formation, and an operating agreement.
4. Set a reminder for the $75 annual report. It is due by the last day of your formation anniversary month. Two misses start the sequence.
5. Selling taxable goods or services? Register for sales tax through NJ-REG. New Jersey charges 6.625% on most goods, specified digital products, and some services.
