How We Chose the Best LLC Services for New Jersey

What Makes a Good LLC Service for New Jersey Founders

New Jersey requires no publication notice. Skipping it saves you hundreds against neighboring New York, where newspaper publication runs $400 to $1,500+ by county.

New Jersey has no franchise tax. Across the river in Delaware, LLCs owe a flat $400 annual LLC tax. Revenue does not matter. It rose from $300 on January 1, 2026. In New Jersey, your only recurring state obligation is the $75 annual report.

New Jersey does not allow anonymous LLCs. Your name and address will appear on the public filing with the Division of Revenue. If privacy matters to you, Delaware or New Mexico may be better formation states.

The state's 6.625% sales tax applies to most tangible goods and some digital products. Sell physical goods and you must register. That happens inside the NJ-REG filing.

What to Do After You File Your New Jersey LLC

  1. File Form NJ-REG before you open for business. This Business Registration Application registers your LLC with the Division of Taxation. The state tax guide asks you to file at least 15 business days before you start trading. Filing costs nothing. You will receive a Business Registration Certificate, which you need before conducting business in New Jersey.
  2. Get your EIN from the IRS. A federal Employer Identification Number opens your business bank account. You also need it to hire and to file taxes. This is free and takes about 15 minutes online at IRS.gov.
  3. Appoint and maintain a registered agent. Your agent must be a New Jersey resident, or a business entity cleared to work here. The agent needs a physical street address. P.O. boxes do not qualify.
  4. Draft an operating agreement. New Jersey does not legally require one. Without it the state's default LLC Act rules govern your company. Any multi-member LLC should treat this as mandatory.
  5. File your Annual Report by the last day of your formation anniversary month. The fee is $75 per year. Missing two consecutive years results in administrative dissolution, and reinstatement costs $75 plus all delinquent fees.
  6. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on August 14, 2026. A New Jersey LLC files nothing and owes nothing. Only entities formed under foreign law still report, and they no longer name their US owners. A letter asking for a fee to file one is a scam, and FinCEN says so.

New Jersey LLC Tax Overview

Most New Jersey LLCs are pass-throughs. Members pay the state's income tax on their share, at rates of 1.4% to 10.75%. Elect corporate treatment and the Corporation Business Tax applies instead. That runs 6.5% on net income up to $50,000, then 7.5% up to $100,000, then 9% above that. There is no annual LLC franchise tax here. For a single member LLC the $75 annual report is the only fixed state cost. An LLC with more than two owners owes more. It pays $150 per owner with its NJ-1065 return, on New Jersey source income.

Hidden Costs to Watch Out For in New Jersey

  • NJ-REG Is Free but Mandatory - The Business Registration Application costs $0. File it at least 15 business days before you open. Without it you cannot collect sales tax. You cannot hire anyone here.
  • Name Reservation Costs $50 - If you want to hold your LLC name before filing, New Jersey charges $50 for a 120-day reservation. Most formation services can check availability and file quickly enough to skip this. Most founders skip it.
  • Good Standing Certificate Costs $50 - You will need this when applying for business loans, registering in other states, or renewing certain licenses. New Jersey charges $50 each time.
  • Reinstatement After Dissolution Is Expensive - If your LLC is dissolved for missing annual reports, you will pay a $75 reinstatement fee plus all delinquent $75 annual report fees. The bill compounds fast. A $20 tax clearance certificate may also be required if dissolved for more than two years.
  • Three Owners Triggers a $150 Per Owner Fee - An LLC taxed as a partnership pays $150 per owner with its NJ-1065 return. That starts at three owners, and only on New Jersey source income. It also pays half that again as a prepayment toward next year. A three member LLC therefore sends $675 the first time it files. Two owner LLCs owe nothing. The Division sets this out in Technical Bulletin TB-55.
