Forming an LLC in Iowa, Start to Finish

An Iowa LLC puts a legal wall between you and the debts of the business. If a customer sues, or a supplier goes unpaid, your house and your savings sit on the far side of that wall. That is the whole point.

Iowa charges $50 to file. Then it mostly leaves you alone. The Biennial Report costs $30 online or $45 on paper, and it only comes round in odd years. Few states ask for less. What Iowa will not give you is a form. Its forms page links Iowa Code 489.201 where every other line links a PDF. You draft the certificate yourself.

The state does not publish a processing time either. It sells guaranteed ones instead. Five business days costs $15. One hour costs $200. The surcharge is per document and sits on top of the filing fee. Budget an hour of real work across a few days. Pay for speed only if a date depends on it.

Iowa does not start your compliance clock on the day you file. It starts it on the calendar. Every LLC organised in 2025 or 2026 owes its first Biennial Report in the same three month window, so two companies born almost two years apart share one deadline.

Choose a Name for Your Iowa LLC

Your LLC name must be unique in Iowa and follow the state's formatting rules.

Step 2

Choose a Registered Agent in Iowa

Every Iowa LLC needs a registered agent with a street address in the state. Legal papers and state mail go there.

A registered agent takes legal papers and state mail for your LLC. Lawsuits go there. Iowa asks the agent to keep a place of business in the state, and somebody has to be there during normal working hours.

  • Ask a trusted person in Iowa to serve (also free, same availability requirement applies)
  • Hire a professional registered agent service (typically $50-$150/year, keeps your personal address private and ensures nothing gets missed)

State Specific

Iowa Code 489.115 asks only that your agent keep a place of business in Iowa. The residency test other guides quote is gone. The chapter was rewritten in 2023. Section 489.201 still wants a street address and a mailing address for the agent, so a PO box can be the mailing line and never the street one.

File Your Certificate of Organization with Iowa

This step creates the LLC. Iowa makes you write the Certificate of Organization yourself, then send it to the Secretary of State.

Iowa gives you no template. Its forms page links Iowa Code 489.201 where every other line links a PDF. That is the state telling you to draft the thing yourself. The statute is short. Iowa Code 489.201 asks for three things. The company name. The street and mailing addresses of the principal office. The agent's name, with a street and mailing address in Iowa. Get an EIN from the IRS

An EIN is a federal tax number. Your LLC needs one to open a bank account, hire anyone, or file business taxes.

Create an Operating Agreement for Your Iowa LLC

An operating agreement sets out who owns the LLC and how it runs. Iowa does not require one. Skipping it is still a bad idea.

Open a Business Bank Account

A separate business account keeps company money apart from yours. That gap is what keeps the liability shield real.

Open the business account early. It draws a clear money line between you and the company. Let that line blur and a court can decide the LLC never protected you at all.

Iowa treats that gap as seriously as a missed report. Under section 489.708, a company with no registered agent for sixty days or more can be administratively dissolved on that ground alone. The same clock runs if the agent resigns or moves and the state is not told. Filing the statement of change costs nothing. Remembering to file it is the whole job.
