What Makes a Good LLC Service for Iowa Founders

Iowa is one of the few states that makes you write your own Certificate of Organization. Most states hand you a fill in the blank form. Iowa gives you a code section. Iowa Code 489.201 says what the paper must state, the company name, the street and mailing address of the main office, and the name and Iowa street address of the agent. The state does sell speed. Expedited review costs $15 for five business days, $50 for two, $125 for same day, and $200 for one hour. That fee is per document. It sits on top of the $50 filing fee, not instead of it.

Iowa never asks who owns the LLC. The Secretary of State says so plainly. Ownership is kept in your own internal records, and the state does not file it because the code does not ask for it. What is public is your main office address, on the certificate and on every biennial report. So the address is the field to think about, not the owner name, and that is what a commercial registered agent is really selling you here.

Iowa allows a protected series, a separate liability box inside one LLC. Two things are easy to miss. Every member has to agree, and each series needs its own paper filed with the state under Iowa Code 489.14201. Useful for rental property. Not a formality.

Your Biennial Report is due between January 1 and April 1 of odd numbered years. It costs $30 online. Paper costs $45. That is half the rhythm of Illinois or Minnesota next door, which both want a report every year.

Iowa charges 6% sales tax. Most places add a 1% local option tax on top. If your LLC sells taxable goods or services, sign up with the Department of Revenue before your first sale.

What to Do After You File Your Iowa LLC

  1. Get your EIN from the IRS. It is free and takes minutes online. You need it before you open a business bank account or hire anyone.
  2. File your Biennial Report between January 1 and April 1 of odd numbered years. It is $30 online, $45 on paper. Iowa charges no late fee. But under Iowa Code 489.708 the state can dissolve your LLC once that report is 60 days late.
  3. Sign up for Iowa taxes with the Department of Revenue. Selling taxable goods or services means a sales tax permit. Employees mean withholding tax and jobless insurance.
  4. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025, so a domestic Iowa LLC files nothing. A final rule made that permanent on 14 August 2026. Only firms formed abroad still report. A letter asking for a fee to file one is a scam, and FinCEN says so.
  5. Write an operating agreement. Iowa does not require one. Your bank will ask for it anyway. It is also what shows your LLC is a real separate entity if anyone challenges it.

Iowa LLC Tax Overview

Iowa taxes your LLC profit on your own return at a flat 3.8%. The graduated brackets are gone. Senate File 2442 collapsed them, and 2026 runs at the single rate all year. There is no franchise tax and no entity level tax on a standard LLC. So your state cost after formation is that income tax plus the $30 biennial report.
