One rule sits near the end of the state own instructions. Trade under any name except the one on your certificate and you have to register that trade name. It costs $25. The state does not treat this as housekeeping either, and warns that skipping it could bring a fine or jail.

Step 2

Choose a Registered Agent in West Virginia

West Virginia does not require one. Your $25 annual report fee already buys the Secretary of State as your agent for service of process.

Read section 5 of Form LLD-1 and you find the words if any. The code agrees. Section 31B-1-108(a) says an LLC may keep an agent and an address for service of process. May, not must. Section 59-1-2a(c) then says your $25 annual report fee pays the Secretary of State to act as your attorney in fact.

So the real question is not the rule. It is where a lawsuit lands. Process sent through Charleston is passed along to the address on your filing. Move house, or leave that address stale, and the first news of a case can be the judgment itself. An agent is someone paid to be there on a working Tuesday.

  • Appoint nobody and let service run through the Secretary of State, allowed by section 31B-1-108, and it leaves everything resting on the address in your filing
  • Name yourself, free, but your street address sits on a public form and you have to be reachable in business hours
  • Ask someone you trust in West Virginia, cheap, and they take on a real duty
  • Hire a professional service, roughly $50 to $300 a year

Step 3

File Your Articles of Organization with West Virginia

Form LLD-1 creates the company. It goes to the Secretary of State, and a second registration goes to the State Tax Department.

Filing by mail means Form LLD-1 and a check for $100. Send it to the One Stop Business Center, 13 Kanawha Blvd. W. Suite 201, Charleston, WV 25302. Expect 5 to 10 business days.

West Virginia waives the whole $100 for veterans. Section 59-1-2(j) covers any business at least 51 percent owned by veterans, active duty members, or their spouses. Section 59-1-2a(m) then waives the $25 annual report fee for four years. Veterans attach Form DD214. Year one costs $30, the certificate and nothing else.

Three expedite tiers sit on top of the $100. They do not replace it. 24 hours costs $25, two hours costs $250, and one hour costs $500. Watch walk ins, because a filing you carry in and ask to have processed is charged the $25 rate anyway.

The filing is public and it names people. Section 11 wants every member, or every manager, with a street address, and a blank there gets the filing rejected. Section 9 adds the organizers. Section 59-1-2a(d)(2)(B) then makes the Secretary of State hand all of it to anyone who asks. Choose those addresses carefully.

An EIN is your federal tax number. Banks want it, the IRS wants it, and it costs nothing.

Create an Operating Agreement for Your West Virginia LLC

An operating agreement sets out who owns what and who decides. West Virginia does not require one. Write one anyway.

A separate account keeps your money apart from the company money. That separation is what protects you.

Open the account as soon as the LLC is approved and the EIN lands. Do it early. Run every dollar of income and expense through it, because nothing else you do protects your personal assets this cheaply.
