What You Need to Know About Forming an LLC in West Virginia
West Virginia will register your LLC without a registered agent. Nobody makes you name one. Your $25 annual report fee already buys the Secretary of State as your agent for service of process. Filing costs $100, and $30 more buys the certificate that lets you trade.
An LLC puts a wall between you and the business. If the company is sued or owes money, your house and your savings sit on the other side of it. That is the whole point. It is why founders pick an LLC over trading as a sole trader.
West Virginia is cheap to start and cheap to keep. The state charges $100 to file. The Tax Department charges $30 for the certificate that lets you sell anything, once, not every year. After that the only bill that comes back is a $25 report. There is no franchise tax.
The work itself is short. Pick a name, file Form LLD-1, get an EIN, write an operating agreement, open a bank account. One Stop takes the Secretary of State and the Tax Department together, which saves you a second round of forms.
Six fees, two agencies. Only one comes back every year. Here is what West Virginia actually charges a new LLC, and which of these you will see again.

Choose a Name for Your West Virginia LLC
Your name has to be different from every business already on file in West Virginia. The rules are short.
West Virginia will only take a name that is different from every business already on file. Check first. The state business entity search is free and takes about thirty seconds.
Search available names →West Virginia LLC Naming Requirements
Optional Name Reservation
- Reserve your name for 120 days for a $15 fee
- File a name reservation through the Secretary of State
- Useful if you are not ready to file your articles of organization yet
One rule sits near the end of the state own instructions. Trade under any name except the one on your certificate and you have to register that trade name. It costs $25. The state does not treat this as housekeeping either, and warns that skipping it could bring a fine or jail.
State Specific
West Virginia holds a name for 120 days. The fee is $15. Most states give you less time than that for the money.
Pro Tip
Search the state database before you fall in love with a name. It is free. It takes about half a minute.
Choose a Registered Agent in West Virginia
West Virginia does not require one. Your $25 annual report fee already buys the Secretary of State as your agent for service of process.
Read section 5 of Form LLD-1 and you find the words if any. The code agrees. Section 31B-1-108(a) says an LLC may keep an agent and an address for service of process. May, not must. Section 59-1-2a(c) then says your $25 annual report fee pays the Secretary of State to act as your attorney in fact.
So the real question is not the rule. It is where a lawsuit lands. Process sent through Charleston is passed along to the address on your filing. Move house, or leave that address stale, and the first news of a case can be the judgment itself. An agent is someone paid to be there on a working Tuesday.
Your Options
- Appoint nobody and let service run through the Secretary of State, allowed by section 31B-1-108, and it leaves everything resting on the address in your filing
- Name yourself, free, but your street address sits on a public form and you have to be reachable in business hours
- Ask someone you trust in West Virginia, cheap, and they take on a real duty
- Hire a professional service, roughly $50 to $300 a year
An agent, if you name one, must live in West Virginia or be a company cleared to work here. A street address is required. A post office box will not do.

Work from home and your own street address goes on the public form. It stays there. Paying an agent is the usual way founders keep it off.
File Your Articles of Organization with West Virginia
Form LLD-1 creates the company. It goes to the Secretary of State, and a second registration goes to the State Tax Department.
Form LLD-1 registers your LLC with the Secretary of State. It asks for the name, the principal office, the organizers, and whether members or managers run the company. Then comes the second step. The Tax Department issues a $30 Business Registration Certificate, and without it you cannot legally sell anything. One Stop takes both in one session.

File Online
File by Mail
Filing by mail means Form LLD-1 and a check for $100. Send it to the One Stop Business Center, 13 Kanawha Blvd. W. Suite 201, Charleston, WV 25302. Expect 5 to 10 business days.
West Virginia waives the whole $100 for veterans. Section 59-1-2(j) covers any business at least 51 percent owned by veterans, active duty members, or their spouses. Section 59-1-2a(m) then waives the $25 annual report fee for four years. Veterans attach Form DD214. Year one costs $30, the certificate and nothing else.
Three expedite tiers sit on top of the $100. They do not replace it. 24 hours costs $25, two hours costs $250, and one hour costs $500. Watch walk ins, because a filing you carry in and ask to have processed is charged the $25 rate anyway.
The filing is public and it names people. Section 11 wants every member, or every manager, with a street address, and a blank there gets the filing rejected. Section 9 adds the organizers. Section 59-1-2a(d)(2)(B) then makes the Secretary of State hand all of it to anyone who asks. Choose those addresses carefully.
State Specific
Every West Virginia business needs the $30 Business Registration Certificate. You pay it once. Since 2010 it has been permanent rather than something you renew.

$39 + state fee. Includes registered agent, business address, domain, website, email, and phone. No upsells.
Get an EIN for Your LLC
An EIN is your federal tax number. Banks want it, the IRS wants it, and it costs nothing.
Apply on the IRS site. It costs nothing. The online form takes about five minutes and the number comes back straight away. Form SS-4 by mail or fax works too, only slower.
Apply for your EIN on IRS.gov →Create an Operating Agreement for Your West Virginia LLC
An operating agreement sets out who owns what and who decides. West Virginia does not require one. Write one anyway.
Skip the operating agreement and state law fills the gap for you. That default may look nothing like what you agreed with your partners. The document also shows a court or a lender that the company is a real and separate thing. Write it early.
Key Sections to Include
Pro Tip
Single member LLCs need one too. Banks often ask to see it, and it strengthens the line between you and the company.
Open a Business Bank Account
A separate account keeps your money apart from the company money. That separation is what protects you.
Open the account as soon as the LLC is approved and the EIN lands. Do it early. Run every dollar of income and expense through it, because nothing else you do protects your personal assets this cheaply.
What to Bring to the Bank
- Approved articles of organization from the West Virginia Secretary of State
- Your EIN confirmation letter from the IRS
- A copy of your operating agreement
- A valid government-issued photo ID
- Your Business Registration Certificate from the WV State Tax Department
Important
Mixing personal and company money weakens the shield. Courts call it piercing the corporate veil. It can leave you paying the company debts yourself.
Business Registration Certificate
Due within Before you begin doing business of formation. Fee: $30.
State Specific
West Virginia requires LLCs to file a Business Registration Certificate within Before you begin doing business of formation for a $30 fee. Failure to file can result in penalties.
Federal BOI Reporting
No. A FinCEN rule from March 2025 removed the beneficial ownership filing for companies formed inside the United States, so a West Virginia LLC does not report. Only entities formed abroad and registered to do business here still file.
