Most states let any adult resident serve as your agent. Virginia does not. Under Code § 13.1-1015 an individual agent must be a member or manager of the LLC, an officer or director of a company that is a member or manager of it, or a member of the Virginia State Bar. The neighbor plan is out. That leaves three real choices. Name yourself, hire a law firm, or hire a commercial agent cleared to do business here.

Virginia files no member or manager names on the Articles of Organization. So the agent record is often the only person and address on your public file. The State Corporation Commission publishes that name and street address in its free business search. List yourself and you have handed over your home address. That is the privacy trade in one line.

The money clock matters here. Virginia charges a $50 annual registration fee, due by the last day of the month your LLC was formed. Miss it and the Commission adds a $25 penalty. Leave it unpaid past the last day of the third month after the due date and your LLC is canceled on the spot. No hearing. No grace period. That is § 13.1-1050.2, and it bites harder than the slow dissolution most states use.

The Commission does mail a warning. It just arrives after you are already late. An agent that sends its own reminder 30 to 60 days ahead is the real guard against a $50 bill ending your company.

Start with what you are buying. Every agent here meets the legal floor, a Virginia street address staffed in business hours. What differs is the renewal price, the speed of the scan, and whether anyone calls you when a lawsuit lands. Northwest holds $125 a year with no step up. Read the renewal, not the banner. Those opening prices are new customer rates. Three of the four charge more in year two than in year one. Over three years the flat $125 wins, even though it never has the cheapest first year. • The change of agent fee that does not exist - Changing your agent is free. Virginia's fee schedule at Code § 13.1-1005 lists every LLC filing the Commission charges for, and the Statement of Change of Registered Office and Registered Agent is not on it. Northwest and ZenBusiness say the same on their own Virginia pages. If a provider quotes you a state fee to switch, it is quoting money the state does not take.
• Renewal jumps - ZenBusiness moves from $99 to $199 after year one. Harbor Compliance moves from $99 to $149. Both say so on their pricing pages, which beats the free first year offers elsewhere.
• Reinstatement - Say your LLC is canceled over the unpaid $50. Section 13.1-1050.4 then wants a $100 reinstatement fee plus every annual fee and penalty you would have owed since. You get five years to fix it. After that the company is gone.
• Mail forwarding - Forwarding beyond the included allowance is billed per item. Northwest includes five free scans of regular business mail a year. Each document after that costs $15. Ask what the number is before you route mail anywhere.

1. Check the agent record. Search your LLC in the Commission's business entity search. Your agent's name and Virginia street address should sit under it.
2. Get an EIN. It is free from the IRS. You need it before a bank account or a Virginia return.
3. Open a business bank account. Most Virginia banks ask for the Articles of Organization and the EIN letter.
4. Diary the $50. It is due by the last day of your formation anniversary month. The penalty starts the next day.
5. Register with Virginia Tax if you will collect sales tax or run payroll. The general rate is 5.3%. It is 6% across Northern Virginia, Central Virginia and Hampton Roads, and 7% around Williamsburg.
6. Store the paperwork. Put the Articles, the operating agreement and the EIN letter in your agent's document vault.
