Oregon puts your agent's name and address on the public business registry. Anyone can look it up. They pull your record from the Corporation Division's business name search and read the details. A commercial agent keeps your home address out of that record.

Your annual report is due on the anniversary of your formation date. Oregon does not use one shared deadline. So your due date differs from nearly every other LLC in the state, and a calendar reminder is worth more here. The state does mail a renewal notice about 45 days ahead. But it goes to the address on file. That is one more reason the address should belong to someone who forwards mail.

Miss the report and there is no instant late fee. You are not dissolved overnight either. ORS 63.651 sets the order. The Secretary of State sends written notice of the problem first. You then have 45 days from that notice to fix it. Only then can the state dissolve the LLC. Two details most guides get wrong. Dissolution does not fire your registered agent, whose authority survives it. And you can seek reinstatement for up to five years. Once granted, it relates back to the dissolution date, as though the gap never happened.

1. Confirm the filing. Look your LLC up in the Secretary of State business registry. Check that the agent name and address match your service agreement.
2. Apply for your federal EIN. The IRS issues one at no cost. You need it before you open a bank account, hire anyone, or file taxes.
3. Open a business bank account. Oregon banks usually ask for your Articles of Organization, EIN letter, and operating agreement. Did you leave the member or manager off your formation documents? Expect the bank to ask for more.
4. Set a reminder for your first annual report. It falls on your formation anniversary and costs $100. Mark your calendar 60 days ahead. Do not rely on the mailed notice.
5. Register with the Oregon Department of Revenue. This applies if your LLC will have employees or owes Oregon income tax. Get a Business Identification Number through Revenue Online.
6. Configure your agent's alerts. Log in and confirm email and SMS notices are on. Then add a backup address. A forwarded state notice should never land in one inbox nobody reads.
