The deadline moves with your LLC. It is not a calendar date. Your Annual Certificate is due on the anniversary of the day your Articles were filed. No two Oklahoma LLCs share a date. The state emails a notice at least 60 days ahead, to the last address it has for you. Fall 60 days past the due date and good standing is gone.

Losing good standing shuts more doors than founders expect. You cannot file anything with the Secretary of State. You cannot get a certificate of good standing, which is what a bank or a landlord asks for. One filing stays open. The state will still accept your agent's resignation.

Sixty days late and good standing goes. Reinstatement is open at any time and relates back as if you never lost it. Members do not become personally liable for the lapse. The cost is the missed filings, the missed fees, and possibly your name.

1. File your Articles of Organization with the Oklahoma Secretary of State. The filing fee is $100. Your agent's name and address appear on it. They appear in the public search too.
2. Apply for an EIN from the IRS. It is free. Eligible applicants get it online at once, and you need it to open a bank account.
3. Open a business bank account using your EIN, Articles, and Operating Agreement. Keep the two sets of money apart. Do it from day one.
4. Register with the Oklahoma Tax Commission if you will collect sales tax or hire staff. Your agent receives state tax notices. That is where same day scanning earns its money.
5. Write your formation anniversary in the calendar twice, at 60 days out and on the day. The state's reminder goes to one email address. Only that one.
6. Log into the agent dashboard. Confirm the alert email is one you actually read. An agent who cannot reach you is the same as no agent.
