Ohio never asks your LLC for an annual report. So your statutory agent is not here to chase filing deadlines for you. There are none to chase. What Ohio asks instead is that the agent exists, without a gap, every day your company does.

The address has to be open, not just real. Most states stop at physical street address. Ohio goes further. Section 1706.09(C)(2) defines the agent's usual place of business as somewhere customarily open in normal business hours, with a person there who can accept service. A mail drop fails that test. So does a house nobody sits in on a Tuesday afternoon.

Losing the agent cancels the company. Ohio does not fine you and it does not dissolve you. Under section 1706.09(L) the Secretary of State mails one notice, by post or by email, and gives you 30 days. Miss that window and your articles are canceled, with no further notice. You then have two years to buy the company back for $25.

• The state fee to switch agents - Changing your statutory agent costs $25 at the Secretary of State under Ohio Revised Code 111.16(R)(1). Anything a service charges to prepare the filing sits on top of that.
• Reinstatement after a lapse - If your articles are canceled, filing to reinstate costs another $25 under section 111.16(Q), and the window to do it closes after two years.

1. Confirm the appointment. Check that your agent's name and address appear correctly on your filing in the Ohio Secretary of State business search. Do this the week you file.
2. Apply for an EIN from the IRS. Apply online at irs.gov. The IRS issues it in minutes and never charges a fee. You need it before a bank will open a business account.
3. Open a business bank account. Bring the EIN letter, your filed Articles of Organization and your operating agreement. Most banks want all three.
4. Check whether the Commercial Activity Tax applies. It only does above $6 million in Ohio taxable gross receipts, per the Department of Taxation's CAT 2023-01 release. Below that you do not register and you do not file.
5. Make sure the agent can reach you. Ohio sends one notice and starts a 30 day clock. Log into your agent's dashboard and confirm the email address and phone number on file are current.
