New York is one of only three states that still make LLCs publish. Nebraska and Arizona are the others. Under LLC Law section 206 you have 120 days from formation to run a notice once a week for six weeks, in two newspapers picked by your county clerk, one daily and one weekly. You cannot shop for cheaper papers. A notice in any other paper does not count.

Manhattan costs more because of a rule most guides skip. Section 206 says that in a county inside a city of a million or more, the papers are designated as though your notice were an advertisement of judicial proceedings. That routes New York County filings to legal notice rates. Ask your county clerk which two papers you are assigned. Then get a quote.

Missing the deadline suspends your authority to do business. It does less damage than it sounds. Section 206 says the suspension does not void your contracts, does not strip anyone's liability shield, and does not stop you defending a lawsuit. File the proof late and the suspension is annulled.

Your agent's name and address sit in the Department of State's public database. Use your apartment and it stays there. A commercial agent puts its own address in that field, which is the main reason New York founders buy one.

The biennial statement is due every two years, in the month your Articles were filed. It costs $9. Your agent should be the one reminding you.

Decide first whether you need one at all. If you live in New York, work from an office, and are happy for that address to be public, the free Secretary of State designation may be enough. Most people are not happy with that.

Then look at what the state already takes.

The Articles cost $200, the Certificate of Publication $50, and the annual filing fee starts at $25. That is $275 in year one. The newspaper bill is the only line New York does not set, and it is usually larger than all of them together.

Against that, agent pricing is a small decision made confusing on purpose. Two services here open at $99. Harbor Compliance renews at $149 and ZenBusiness renews at $199, so read year two before year one. Northwest holds $125 flat.

• Newspaper publication - Six weeks in two assigned papers, priced by the papers rather than the state. Get a quote before you budget. It is the largest and least predictable cost of starting a New York LLC.

Your LLC does not pay New York income tax. Members do, on their share. What the LLC itself owes is the annual filing fee on Form IT-204-LL, a minimum of $25, due on the 15th day of the third month after your tax year ends. It is scaled to New York source gross income.

One 2026 change is worth knowing because the headlines got it wrong. The LLC Transparency Act took effect on January 1, 2026, and it does not apply to you if your LLC was formed in a US state or territory. A December 2025 veto left the reporting duty on LLCs formed outside the country and authorized here. Those file with the Department of State. The fee is $25.

1. Call your county clerk and get your two designated newspapers. You cannot choose them. Using the wrong paper voids the run. Ask each for a quote on a six week notice.
2. Publish for six consecutive weeks, then collect the affidavits. The papers issue them once the run finishes.
3. File the Certificate of Publication with the affidavits attached, inside 120 days of formation. The filing fee is $50.
4. Apply for an EIN at the IRS. It is free and takes about 10 minutes. Skip any service that charges for it.
5. Open a business bank account with your Articles, your EIN, and your operating agreement. Keep the money separate from day one.
6. Diary the biennial statement for the month your Articles were filed, two years out. It is $9, and missing it puts you past due.
