Best Registered Agent Services in New Hampshire

New Hampshire publishes your agent's name and street address in the Corporate Database. You cannot suppress it. The Secretary of State also says the registered office cannot be a post office box, and that the agent should be there during regular business hours. So a mail drop does not solve it either. A commercial agent is the practical way to keep your home address off a record anyone can search.

An agent can quit on you. Under RSA 304-C:36, an agent resigns by filing a written notice with the Secretary of State. The appointment then ends 31 days later, whether or not you have found a replacement. After that, RSA 304-C:136 lets the state dissolve a company that goes 60 days without an agent or a registered office. No reminder arrives in between.

Annual reports are due April 1. The fee is $100. Miss the date and $50 is added, and the Secretary of State says that late fee cannot be waived. You are marked Not in Good Standing that day. Two missed years in a row and the state dissolves the company. Reinstatement is $135 within three years, and there is a separate $500 fee for a late one.

New Hampshire will not accept a general purpose clause. The instructions for Form LLC-1 say your Certificate of Formation must name a primary nature of business. Something like software consulting and development works. Any lawful activity gets rejected. Few states work this way, so a formation package that fills the field for you is worth more here than it looks.

• The renewal is not the headline price - Two of the four services here quote a promotional first year, then charge more every year after. Compare the renewal column in the table above. That is the real number.
• Switching agents costs $15 - New Hampshire charges $15 for a Statement of Change of Registered Office or Registered Agent under RSA 304-C:191, II(b). Most guides say switching is free. It is not.
• The April 1 late fee cannot be waived - Missing the annual report adds $50 to the $100 fee. The Secretary of State says so plainly.
• Coming back costs more than staying - Reinstatement after a dissolution is $135, or $500 as a late reinstatement. Keeping an agent runs $99 to $249 a year.

1. Watch for the filed Certificate of Formation. The Secretary of State says online filings take no more than 10 business days. You can check the current processing date on the NH QuickStart login page. Expedited service costs $25 in person.
2. Apply for your EIN. It is free at the IRS and takes one sitting. Your bank will ask for it.
3. Open a business bank account. Bring the filed Certificate of Formation, the EIN letter and your operating agreement. Most banks want all three.
4. Put April 1 in the calendar now. Your first annual report is due April 1 of the year after you register. The fee is $100. A $50 late fee follows, and the state will not waive it.
5. Turn on your agent's alerts. Log in and confirm email and text notifications are on for incoming documents and report reminders. The state warns you about nothing before it acts.
6. Register with the Department of Revenue Administration if you expect to cross either tax threshold. That is separate from your Secretary of State filings.
