What Makes a Good Resident Agent for Michigan Businesses

Michigan puts your resident agent's name and street address in the LARA business search. The search is free. Anyone can run it. Act as your own agent and your home address sits on that record for as long as the LLC exists.

The February 15 deadline lands inside tax season, which is why founders miss it. Michigan will not fine you for being late. The statement costs $25 whenever you get to it. What happens instead is slower and worse. Miss two years in a row and LARA sends a warning. Do not catch up within 60 days and your good standing ends. The company still exists. It can still trade. But the state accepts no filing from it except a $50 certificate of restoration, and its name becomes available to anyone else.

Michigan has no anonymous LLC. Your organizer name and your agent's address both sit on the public Articles of Organization. A commercial agent is the only practical way to keep a home address out of the LARA database. One group pays nothing. Michigan waives its LLC filing fees when a majority of the membership interests are veteran owned.

How to Choose a Registered Agent in Michigan

Ask what the agent costs in year two. Year one is a sales price. ZenBusiness and Bizee fold a first year into a formation package, and Harbor Compliance discounts a standalone first year. Already have an LLC? Switching agents is a small filing. Michigan charges $5 for a statement of change of registered office or resident agent. The incoming service usually prepares it for you.   • The renewal jump - The cheap first year is not what you pay in year two. ZenBusiness and Harbor Compliance both step up. The table above carries the current figure for each.
  • Changing agents costs $5 - Michigan charges $5 to move your registered office or resident agent. Leaving a service is cheap. It is not free.
  • Veteran owned? The state fees stop - MCL 450.5101 waives the $50 formation fee when veterans hold most of the LLC. Subsection 9 then waives every other fee in that section, the $25 annual statement and the $5 agent change included. You show the state proof each time. Almost nobody writes this part down.
  • Mail forwarding - Some services charge per physical document sent on. Northwest includes same day scanning at no extra cost.
  • No late fee, then a cliff - Michigan charges no penalty for a late annual statement. The fee is $25 whenever you file. Two missed years, a warning, and 60 days of silence end your good standing. Restoring it costs $50 on top of every skipped statement.
  • The state fee drops in 2027 - The annual statement falls to $15 after September 30, 2027. Today it is $25.

Michigan Business Compliance Overview

Michigan taxes LLC profits on the members' own returns. Elect corporate treatment and the Corporate Income Tax applies instead. Either way, the resident agent is what keeps you in good standing with LARA. An LLC out of good standing cannot file anything with the state except a $50 certificate of restoration. That delay tends to surface during a license renewal or a loan close. Never at a good moment.

What to Do After Setting Up Your Registered Agent

  1. Check the LARA business search 5 to 10 business days after you file your Articles of Organization ($50, waived when a majority of the first membership interests are veteran held). Make sure the agent shows correctly.
  2. Apply for a federal EIN on the IRS site. It is free. You need it before a bank will open a business account.
  3. Open a dedicated business account. Most Michigan banks ask for the Articles of Organization, the EIN letter and an operating agreement.
  4. Put February 15 in your calendar for the annual statement. It costs $25 today. The fee drops to $15 after September 30, 2027. An LLC formed after September 30 skips the February 15 right after it.
  5. Turn on alerts in the agent's dashboard. Set your own reminder 30 days out too. Michigan's warning only arrives after two missed years.
  6. Selling physical goods? Register for a sales tax license with Treasury. The rate is 6%.

Frequently Asked Questions About Michigan Registered Agents

Does Michigan require a registered agent?

Yes. Michigan law (MCL 450.4207) makes every LLC keep a resident agent, which is the state's own term for a registered agent. The agent must be a Michigan resident or a business entity cleared to work here. A real street address is required. Someone has to be there in business hours to take legal papers and state mail.

Can I be my own registered agent in Michigan?

You can, if you live in Michigan and have a street address here. A PO box does not count. The trade is that your address goes into the public LARA search and stays there. You also have to be at it all day to be served in person.

How much does a registered agent cost in Michigan?
