Maine asks your agent to exist, not to keep office hours. The whole requirement is one sentence. Section 1661 of Title 31 says a limited liability company must have and continuously maintain a registered agent in this State. There is no rule about being at a desk from nine to five. The real exposure sits in 5 MRSA §113, which says that if your agent cannot be served with reasonable diligence, the other side may post the papers to you by registered or certified mail, and service is perfected five days after they hit the mailbox. Nobody has to hand you anything. That is the risk a reliable agent removes, and it is a better reason to hire one than the office hours rule people think exists.

The filing queue is the part most guides skip. As of September 23, 2026 the Division of Corporations is quoting 25 to 30 business days on a mailed corporate filing. On September 4 the same notice said 40 to 55, so the figure moves and is worth checking the week you file. LLC formation has no online path at all. So the form and the agent named on it go to Augusta by post and wait. Get it wrong and the fix mails back into the same queue. So pick the agent first. Paying to skip the queue is not a clean escape either. The division carries a second banner directly above the processing one, warning that expedited requests are themselves delayed by volume.

Annual reports break the paper rule. They fall due June 1 each year. Maine does let LLCs file that one online, pay by card, and print the receipt the same day. A good agent watches the date for you. Losing good standing is the costly part, not the filing.

One word trips people up on the state site. Maine says clerk. Its forms are titled clerk or registered agent, a holdover from the corporation rules. For an LLC, the field you are filling is the registered agent.

• Ignoring the report ends the company. 31 MRSA §1667 says an LLC that does not file and does not pay is administratively dissolved. A foreign LLC loses its authority to do business here. The notices go to your registered agent, so the agent is who stands between you and that letter.
