What Makes a Good Registered Agent for Illinois Businesses

The name and office address are public. The Secretary of State's business search shows both on the company record. Home offices show up too. LLC manager names and addresses may also appear. An agent does not make the firm anonymous.

Annual reports have an early due date. Under 805 ILCS 180/50-1, the $75 report must reach the state in the 60 days before the anniversary month begins. Miss that window and the LLC is declared delinquent. Under 805 ILCS 180/50-15, a $100 penalty lands once the second month after the anniversary month starts, and another $100 stacks on for every further year of delinquency.

An agent quit notice starts a 60 day clock. Section 1-35 says the resignation cannot take effect sooner than 30 days after filing. The LLC must put a new agent on record within 60 days after that notice. Miss it and Section 50-15 puts the company out of good standing. Act fast.

You can, an apartment street address is fine legally. The catch people hit, the address becomes public record, and some leases restrict running a business from the unit. If either is a concern a $99 to 299 a year service keeps your apartment off the filings.
