Best Registered Agent Services in Delaware

Delaware publishes your agent's name and address on its entity search. The Certificate of Formation asks for no member or manager names. So that listing is the only address on the public file. A commercial agent keeps yours off it.

The law makes your agent forward the tax statement. Under 6 Del. C. 18-104, a registered agent must accept service of process, forward it to you, and forward the annual tax statement the state issues under 18-1107. The same section bars an agent from working solely through a virtual office or a mail forwarding service, and it sets extra requirements on any agent serving more than 50 entities.

There is no annual report in Delaware. There is a $300 annual tax instead, due June 1. Miss it and the state adds a flat $200 penalty plus 1.5% interest per month on the tax and the penalty together. There is no proration.

An unpaid tax cancels the LLC on a clock, not after a warning. Under 6 Del. C. 18-1108, a certificate of formation is canceled if the tax stays unpaid for three years from its due date, effective on the third anniversary of that date. So one missed June 1 starts it. Delaware then publishes the canceled list online for a week and advertises it in a Delaware newspaper.

You probably cannot be your own agent here. Most Delaware LLC owners live somewhere else. The agent needs a Delaware address staffed often enough to take service in person. Here an agent is a requirement, not a convenience.

1. Check the public record. Look your LLC up on the Division of Corporations entity search and confirm the agent name and address that appear are the ones you paid for.
2. Apply for your EIN. It is free at the IRS and takes one sitting. Your bank will ask for it.
3. Open a business bank account. Bring your Certificate of Formation and your EIN letter. Most banks want both.
4. Put June 1 in the calendar yourself. Do not rely only on the forward. The tax is $300, the penalty for missing it is $200 plus monthly interest, and the reminder route runs through a company you have never met.
5. Foreign qualify where you actually operate. A Delaware LLC trading in another state usually has to register there too, which normally means a second agent in that state.
6. Turn on document alerts. Log into your agent's dashboard and switch on email and text notifications, because service of process is the one thing you cannot afford to learn about late.
