The franchise tax notice does not go to your registered agent. The annual report asks for a tax contact and an agent on separate lines. The tax notice follows the tax contact. And if no form arrives by March 20, you must request one in writing. The May 1 deadline is yours, not your agent's.

Unpaid franchise tax freezes your other filings. A.C.A. 26-54-114 blocks any new filing while an entity owes tax. So one skipped $150 payment can stall a name change or a merger. It can also stall a certificate of good standing on the day you need one. The tax keeps running after revocation, until you dissolve or withdraw.

A statement of change carries no fee on the LLC fee schedule, and there is no rush tier to buy, so the three to five business days the office currently quotes is the only speed available. It takes effect the moment you file it, under section 4-20-108. No member or manager vote is needed. The form is one page. One thing the state's own filing guide spells out and founders miss, changing your agent leaves your franchise tax contact and your principal office address where they were. Each is a separate filing. Still, time the switch away from May 1, and check the new agent will forward old mail.

• The renewal is the real price. ZenBusiness goes from $99 to $199. Harbor Compliance goes from $99 to $159. Bizee and Inc Authority give the first year away when they form your LLC, then bill $149 and $249 a year. Bought on their own, Northwest, Bizee and LegalZoom charge the same in both years.
• Paying the franchise tax online costs $5 more. The state adds a $5.00 card processing fee online and none by mail. So $150 becomes $155.
• There is no extension to ask for. Arkansas ended it in 1991. Acts 1046 and 1140 removed the option, and every LLC report is due on or before May 1.
• A postage meter will not rescue a late filing. The state takes a Postal Service postmark of May 1. It refuses meter dates. Stamping it yourself on the last day counts as late.
• Late costs more than the flat penalty suggests. The state adds $25. Then it charges interest on tax and penalty together, at 0.000274 a day. That runs near 10% a year, from May 2.

1. File your Certificate of Organization with the Secretary of State. The fee is $50. That comes from the LLC fee schedule issued under Act 1041 of 2021, the same act that carries the registered agent duty. The office now quotes 3 to 5 business days for every route, online included.
2. Apply for your EIN from the IRS. It is free. The Secretary of State says to do this after your entity comes back, not before.
3. Open a business bank account with the EIN and your filed certificate. Keep the money separate. That habit is what protects the liability shield.
4. Put May 1 on your calendar, and March 20 beside it. No form by March 20 means you must ask for one in writing. The $150 falls due either way.
5. Register with the Department of Finance and Administration if you sell taxable goods. Rates vary by city and county. Look yours up by address.
6. Turn on your agent's alerts. Log in and check that email and text are active. Service of process is the thing that really arrives through an agent, and it arrives with no warning.
