What You Need to Know About Forming an LLC in Michigan
Michigan does not fine you for filing your annual statement late. It releases your company name instead. Miss two years and the name goes to whoever asks for it, and this guide covers the whole $50 formation, from the name search to that first February 15.
A Michigan LLC puts a wall between what you own and what the business owes. If the LLC is sued or runs up debt, your bank account, your house and your car sit on the other side of it. That wall is the whole point. Without it you are a sole proprietor and the debts are yours.
Michigan is cheap to start and cheap to keep. Filing runs $50. The annual statement is $25 a year. There is no franchise tax and no general state business licence. Veterans pay none of it, either. MCL 450.5101 waives the fee on every LLC document, the Articles of Organization included, when most of the founding ownership is held by veterans.
The job itself is six steps. A name search, a resident agent (Michigan's word for a registered agent), Form CSCL/CD-700 filed with LARA, a federal EIN, an operating agreement, a bank account. What LARA will not tell you is how long any of it takes. It publishes no turnaround at all, by post or online. It does publish a price list for speed, and this guide prices every rung of it.

Choose a Name for Your Michigan LLC
Your name has to follow Michigan's rules. It also has to be unlike every name already on file, or LARA rejects the filing.

Choose a Registered Agent in Michigan
Every Michigan LLC needs a registered agent (called a "resident agent" on state forms) who can accept legal documents on your behalf during business hours.
Your resident agent takes the legal post. Lawsuits, state notices, tax letters. They need a real street address in Michigan, no P.O. boxes, and they have to be there in normal working hours. It can be a person who lives in the state or a company cleared to do business here.
Your Three Options
- Do it yourself. Free. But you have to be at that Michigan address every working day, and a missed delivery can be a missed lawsuit.
- Ask someone you trust. A friend or relative who lives in Michigan and is reliably around. Make sure they know what they are taking on.
- Pay a service. Usually $50 to $300 a year. They cover the hours, keep your home address off the public record, and never miss the post.
State Specific
Michigan writes resident agent on its forms. Other states write registered agent. It is the same job and the same rules, so do not let the wording throw you.
File Your Articles of Organization with LARA
This is the filing that creates the company. Form CSCL/CD-700 goes to LARA with $50.
Your articles carry six things. The company name. The purpose. Your resident agent's name. The street address of the registered office. A duration, but only if you want something other than perpetual. And Article V, for anything extra. Article V earns its own paragraph. It is where you say the company is manager managed, and it is the only place that works. Nobody who owns the company is named. The organizer signs and prints their name, and no address is asked for them. Filing costs $50 either way. That covers the articles alone, so a name reservation is extra. LARA publishes no standard turnaround. If you need a date you can trust, add Form CSCL/CD-272 and buy one. It is $50 for 24 hours, $100 same day, $500 for two hours by 3pm, $1,000 for one hour by 4pm, each on top of the $50. One option goes almost unused. You can name a later effective date, up to 90 days out. That is how a filer in November opens the books clean on 1 January.

File by Post
Online, start at the Michigan Business Registry and set up an account. By post, download Form CSCL/CD-700, fill it in, and send it with a cheque or money order for $50 made out to the State of Michigan. Create an Operating Agreement for Your Michigan LLC
An operating agreement is the company rulebook. Michigan does not ask for one. Skip it and the state writes your rules for you.
Michigan does not require an operating agreement. Write one anyway. Without it, a fallout between members is settled by Michigan's LLC Act, and the Act may not say what the two of you agreed. Banks and investors will ask to see it as well.

Once the LLC is approved and the EIN is in, open a business current account. This is not just tidy bookkeeping. It is what holds the wall up. Run a personal cost through the company account, or the other way round, and you weaken the very protection you paid to get.

No. FinCEN exempted every company formed in the United States from beneficial ownership reporting in an interim final rule published 26 March 2025 and applied from 21 March 2025, then made that exemption permanent in a final rule published 11 August 2026 and effective 14 August 2026. Only entities formed under foreign law and registered to do business in a US state still report.
