Wyoming skips two taxes that most states charge. There is no personal income tax and no corporate income tax. Only three states pull that off, with Nevada and South Dakota. Nevada then charges a Commerce Tax once a business passes $4 million in revenue. Wyoming charges nothing at any size.

Anonymous ownership is the default here. You do not file extra paperwork or hire a nominee. The Articles of Organization ask only for the organizer and the registered agent. Wyoming also allows Series LLCs. One parent LLC can hold separate cells, each with its own assets and liability shield. Real estate investors use this to wall off properties. 2. Draft an operating agreement. Wyoming does not require one. But your bank will ask for it when you open an account, and it backs up your liability shield in court.
3. Get an EIN from the IRS. It is free and takes about 5 minutes at irs.gov. You need it to open a bank account, hire, or file federal taxes.
4. Get a sales tax license, but only if you sell taxable goods. Wyoming's state rate is 4%. Some counties add up to 2% on top. You register with the Wyoming Excise Tax Division.
5. File your annual report by the first day of your anniversary month. The fee is $60, more only if your Wyoming assets top $300,000. Miss it and the state dissolves your LLC 60 days later. File at the Wyoming Secretary of State.
6. Check whether you owe a federal BOI report. In March 2025, FinCEN dropped this filing for every LLC formed in the United States. A Wyoming LLC owned by U.S. persons files nothing. Only foreign companies report now. Confirm at FinCEN before you file.

• Online filing costs more than $100. The state adds a card processing fee of 2.4%, minimum $1, to anything paid through its portal. So a new LLC pays $102.40, and the $60 annual report costs $61.44 online. Mail it in and you pay the flat fee, but you wait up to 15 business days.
• The annual report fee can climb. The floor is $60. Above $300,000 in Wyoming assets, it rises to $0.0002 per dollar. Most small LLCs never leave the $60 floor.
• Name reservation costs $60. Holding your name before you file runs $60 for 120 days. You can skip it if you are filing today.
