How We Chose the Best LLC Services for Washington

Washington's $180 filing, the initial report folded inside it, and a tax on gross receipts gave us more to check than a plain formation. We filed through the state's own system. Then we watched what each service did with the initial report, and whether it warns you about the $70 annual report before that report goes late and turns into $95.

The initial report is the part most guides get wrong. Washington's online form files it with your Certificate of Formation. There is a box to defer it. Tick that box and the report becomes its own $10 filing, due within 120 days, and a deadline you have to remember on your own.

LLC Formation + Business Identity

+ state fees

  • Preparation and filing of Articles of Organization
  • 1 full year of Registered Agent service included
  • Operating Agreement draft

Northwest Registered Agent is our top pick for LLC formation. Their $39 package now includes what they call a Business Identity: a business address, domain name, website with hosting, email, phone service, and mail scanning, on top of the formation filing and a year of registered agent service. No tiered plans, no upsell games during checkout. They are a family-owned, privately held company with U.S.-based Corporate Guides who actually know what they are talking about. The dashboard is more utilitarian than polished, but that is a fair tradeoff for the most complete formation package at this price.

Pros

  • Flat $39 formation fee with no tiered packages or hidden add-ons.
  • Full Business Identity included: business address, domain, email, website, and phone service.
  • Free year of registered agent service with privacy protection.
  • Free mail scanning (up to 5 documents) and renewal reminders.
  • Same-day filing with no extra rush fees.
  • U.S.-based Corporate Guides who actually answer the phone.

Cons

  • Customer support is not available on weekends.
  • Online cancellation process can be cumbersome.
  • Trial digital services auto-renew if you forget to cancel.

Best For: Founders who want a complete business setup (formation, address, domain, email, website, phone) in one flat-fee package with no upsells.

ZenBusiness offers the smoothest LLC formation experience available. The guided setup walks first-time founders through every step, and the $0 Starter plan only requires you to pay state fees. The dashboard sends compliance reminders so you do not miss deadlines. Watch for pre-checked upsells during checkout that trigger recurring annual costs, and know that the Pro plan renewal jumps to $199/year. A strong choice if you want a polished, beginner-friendly formation process.

Pros

  • $0 Starter plan requiring only state filing fees
  • Highly intuitive dashboard that simplifies the formation process
  • Responsive support team available on Sundays
  • First year of Worry-Free Compliance included for free
  • Excellent mobile app for managing your business on the go

Cons

  • Heavy push for add-on services during the checkout process
  • Registered agent and compliance renewals become expensive after the first year

Formation is the free part. The logo and website builders are easy to use, and the guided setup is beginner friendly. The catch is checkout. Plan prices stay hidden until the end, a $39 a month bookkeeping trial comes pre-checked, and the registered agent most founders need costs $199 a year. That puts the real first-year cost near $309 in a state like Delaware. If you want branding and formation together, it works. If you only need the LLC, Northwest files for a flat $39 with no upsells.

Pros

  • Free Lite plan covers the LLC filing and standard processing
  • Beginner-friendly dashboard that is easy to navigate
  • Built-in logo maker and website builder in one dashboard
  • Customer support available on weekends
  • Guided questionnaire walks you through setup

Cons

  • Plan prices stay hidden until the end of the questionnaire
  • Pre-checked $39 a month bookkeeping trial you must cancel yourself
  • Registered agent service costs $199 a year, more than budget rivals

Best For: First-time founders who want LLC filing and basic branding tools in one place.

FileNow delivers a remarkably fast and straightforward LLC formation experience. We appreciate that 24-hour processing is standard across all plans instead of being an expensive add-on. The checkout process is completely transparent with zero pre-checked upsells or hidden fees. However, because the base plan costs $49 and does not include a registered agent, budget-conscious founders might prefer cheaper alternatives.

Pros

  • 24-hour order processing included on all plans at no extra cost
  • Transparent pricing with zero hidden fees or pre-checked subscriptions
  • Simple two-tier pricing makes choosing a package easy
  • Premium plan provides excellent value by bundling essential startup documents
  • Customer support is accessible via phone, chat, and email

Cons

  • No free formation tier available
  • Starter plan does not include registered agent service
  • Lacks advanced legal tools and ongoing compliance dashboards

Best For: Entrepreneurs who prioritize fast 24-hour processing and straightforward, transparent pricing.

Swyft Filings lives up to its name by offering some of the fastest LLC formation times on the market. Their 5-step setup process is simple and easy for beginners to understand. However, their aggressive upsells and missing registered agent service make their $0 starting price highly deceptive. We recommend them only if you desperately need same-day processing and know exactly which add-ons to decline.

Pros

  • Exceptionally fast processing speeds
  • Streamlined 5-step application interface
  • Knowledgeable and responsive phone support
  • Basic package starts at $0 plus state fees
  • No confusing legal jargon during setup

Cons

  • Registered agent service costs an extra $149 per year
  • Aggressive multi-page upsell flow
  • Difficult cancellation process for ongoing subscriptions

Best For: Founders needing fast turnaround who can navigate heavy upsells.

LegalZoom relies heavily on its brand recognition to charge premium prices for basic services. While the platform is easy to navigate and offers excellent legal document libraries, the checkout process is a maze of expensive upsells and auto-renewing trials. We do not recommend it if you are on a budget. You will end up paying significantly more for registered agent and compliance services than you would with competitors.

Pros

  • Highly intuitive platform that is easy for absolute beginners to navigate.
  • Access to a massive library of legal documents and forms.
  • Long-standing brand reputation provides reliability and peace of mind.
  • Customer support is available seven days a week.
  • Basic LLC formation is free excluding mandatory state fees.

Cons

  • Incredibly aggressive upselling for simple tasks like obtaining an EIN.
  • Registered agent fees are heavily inflated at $249 per year.
  • Checkout includes pre-selected free trials that auto-renew at high prices.
  • Standard processing times are slow unless you pay a $99 expedite fee.

Best For: Founders prioritizing brand recognition and access to an extensive legal document library.

What Makes a Good LLC Service for Washington Founders

Washington has no personal income tax. It taxes your gross receipts instead, through the Business and Occupation tax, and the bill arrives whether or not you made money that year.

The service rate climbs as you grow. Under $1 million in prior year revenue you pay 1.5 percent. From $1 million to $4,999,999 it is 1.75 percent, and at $5 million and above it is 2.1 percent. Sell goods instead and the rate drops. Retailing sits at 0.471 percent, wholesaling and manufacturing at 0.484 percent, per the Department of Revenue rate list.

Washington does not offer anonymous LLCs. Your name and address go on the public filing. Wyoming and New Mexico let members stay off the record, Washington does not.

Every Washington LLC gets a Unified Business Identifier at formation. One number covers Revenue, Employment Security and the rest. Order matters here. The Department of Revenue will not take your Business License Application until the Secretary of State has your LLC on file. Our Washington LLC formation guide walks the filing itself step by step.

What to Do After You File Your Washington LLC

  1. Check whether your initial report went in with the certificate. The online form files it by default. If you deferred it, it is a $10 filing due within 120 days of your effective date.
  2. Apply for your state business license. Revenue requires one if your gross income reaches $12,000 a year, if you hire within 90 days, if you collect sales tax, or if you trade under a name other than your own. Online applications take about 10 business days. City and state endorsements add two to three weeks, and the fee depends on which endorsements you need.
  3. Register for B&O tax and any sales tax with Revenue using your UBI number.
  4. File your annual report by the last day of your anniversary month. It is $70. Filed late it is $95, and a report left unfiled can end in administrative dissolution.
  5. Line up your registered agent for year two. Most services include the first year and bill for it after that, which is what our Washington registered agent comparison prices out.
  6. Draft an operating agreement. Washington does not require one. Banks ask for it anyway, and it holds up your liability shield when an LLC has more than one member.

Washington LLC Tax Overview

Washington has no personal or corporate income tax. Every LLC still owes Business and Occupation tax on gross receipts. Service businesses pay 1.5 percent under $1 million in prior year revenue, 1.75 percent from $1 million, and 2.1 percent at $5 million and up. Retailing is 0.471 percent. You owe it in years you lose money.

Hidden Costs to Watch Out For in Washington

  • The online processing fee - Washington publishes $180 for the Certificate of Formation, then adds a processing fee at checkout it does not name in advance. That is why the $200 total in most guides is a guess. We tested 6 services against the $180 the state actually prints on its own instructions.
  • Deferring the initial report - It rides along with the certificate for nothing. On its own later it is $10, and it comes with a 120 day clock.
  • The annual report is $70, not the $60 most guides still print. Washington raised it under WAC 434-112-085(7). Filed late it is $95.
  • Speed costs $100 - Expedited priority is $100 at checkout for about three working days, and same day service is $150. Washington publishes no standard turnaround at all. Filings are worked in the order received.
  • Reinstatement is $140 plus every annual report you missed while you were dissolved.
Bar chart of Washington Secretary of State LLC fees, Certificate of Formation $180, deferred initial report $10, expedited priority $100, annual report $70, late annual report $95, reinstatement $140
Every fee the Washington Secretary of State charges an LLC, and when it charges it. Only the $70 annual report repeats. Verified 31 July 2026 at the Secretary of State fee schedule.

Frequently Asked Questions About Washington LLCs

How much does it cost to form an LLC in Washington State?

The Certificate of Formation is $180, plus an online processing fee the state does not publish before checkout. Your initial report rides along with it at no extra charge unless you defer it, which costs $10. After that it is $70 a year. Formation services add their own fee on top, and several start at $0.

Do I have to file a separate initial report in Washington?

Not if you file online and leave the defer box alone. The online Certificate of Formation carries the initial report with it. Tick the Defer Initial Report checkbox and the report becomes its own filing, due within 120 days of your effective date, and the state charges $10 for it. So the gotcha is optional.

How long does LLC formation take in Washington State?

Washington publishes no standard turnaround. Documents are processed in the order they are received. You can add expedited priority for $100 at checkout, which the state says is generally about three working days, or pay $150 for same day service. Most formation services submit your paperwork the day you order.

Does Washington State require a registered agent?

Yes, under RCW 23.95.415. Your agent can be commercial or noncommercial, and either way the agent has to consent to serve. A noncommercial agent needs a physical street address in Washington. No PO boxes and no private mailbox addresses. Changing your agent later costs nothing at the Secretary of State.

What is Washington's B&O tax and does it apply to my LLC?

It applies to almost every business here, and it is charged on gross receipts rather than profit. Service businesses pay 1.5 percent under $1 million in prior year revenue, 1.75 percent from $1 million, and 2.1 percent at $5 million and up. Retailing is 0.471 percent. You owe it in a year your LLC loses money.

do these formation services charge differently for washington or is pricing the same every state

Daniel WongStartupOwl team

Legal & Compliance Analyst · July 27, 2026

Service fees are the same nationwide, what changes by state is the government fee they pass through, Washington's $200 is on the higher side. So compare services on their own fee and what the first year genuinely includes, the state cost is identical no matter who files it.

how much is an llc in washington state all in, the numbers online are all over the place

Daniel WongStartupOwl team

Legal & Compliance Analyst · July 11, 2026

The state charges $200 to file online as I write this, then an annual report around $60 each year, check the SoS page for current numbers. The all over the place part comes from service packages stacking registered agent and extras on top, the state portion is just those two fees.
