How We Chose the Best LLC Services for Pennsylvania

Pennsylvania keeps member and manager names off the Certificate of Organization. It asks for no newspaper notice either, unlike New York. Two things founders pay extra for elsewhere are free here. What Makes a Good LLC Service for Pennsylvania Founders

Pennsylvania allows anonymous LLCs. You can keep member and manager names off the public record in your Certificate of Organization. That buys privacy without forming in Delaware or Wyoming.

Pennsylvania has no publication requirement. New York founders still buy newspaper notices after they form. You do not.

The state sends one reminder before the report is due. It is a postcard, and it goes to your registered office at least two months ahead. Say that address belongs to a commercial registered office provider. The Department then skips the postcard. It sends the provider a spreadsheet and leaves it to them to pass the message on. Your choice of provider is the difference between a reminder that reaches you and one that stops in somebody else's inbox.

Getting dissolved is survivable. Losing the name is not. Reinstatement has no deadline. It costs $35 filed online, plus $15 for each report you never paid. But the day the state files the dissolution, your name is open to anyone. If another company takes it, they keep it and you pick a new one.

What to Do After You File Your Pennsylvania LLC

  1. Apply for an EIN from the IRS. It is free. You need one to open a business bank account, hire staff, or file federal taxes as a multi member LLC.
  2. Register for a Pennsylvania sales tax license if your LLC sells taxable goods or services. It runs through the Department of Revenue. There is no fee.
  3. Diarise the $7 annual report. Your first one is due the year after you form, not the year you form. The window runs January 1 to September 30.
  4. Check your municipality for local taxes and licences. Philadelphia wants a Commercial Activity License. It also charges a Business Income and Receipts Tax.
  5. Skip the federal Beneficial Ownership Information report. FinCEN exempted every company created in the United States in an interim final rule published 26 March 2025. A final rule made that permanent on 14 August 2026. A domestic Pennsylvania LLC files nothing. Only firms formed under foreign law and registered here still report. A letter asking for a fee to file one is a scam, and FinCEN says so.
  6. Draft an operating agreement. Pennsylvania does not require one. Banks and investors will ask for it, and it helps protect your limited liability in court.

Pennsylvania LLC Tax Overview

Pennsylvania taxes personal income at a flat 3.07%. LLC profits that pass through to members are taxed at that rate, not on a sliding scale. The wrinkle is local. Philadelphia and a long list of towns run their own business taxes on top. Two identical LLCs can owe very different amounts depending on which side of a township line they sit on.

  • Name Reservation Costs $70 - Most founders skip it and simply file. The Certificate of Organization claims the name the day it is approved.
