New Mexico asks for nothing after formation. No annual report, no periodic report, no renewal fee. Once the Secretary of State accepts your Articles of Organization, the state is done with you.

That is rare. It is not unique, and pages that call it unique are wrong. Arizona matches New Mexico exactly, no LLC report and no fee. Ohio, Missouri and South Carolina also leave their LLCs alone. New Mexico stands apart for a second reason, and it sits in the filing itself.

The Articles want four things. The company name, the agent and office, the main place of business, and a note if the LLC is manager managed. They do not want member or manager names. So the choice comes down to two numbers.

New Mexico does require every LLC to keep a registered agent. You may serve as your own if you hold a street address in the state. Most owners who chose New Mexico from somewhere else cannot. So the renewal is a real budget line, not an optional extra. Northwest gives the first year free and charges $125 after it. Two years cost $125. FileNow prices lower at $119, but it bills that in year one as well. The same two years cost $238. A $0 filing headline tells you little on its own, because the filing is the cheap part at every service here.

Two state taxes still apply. New Mexico charges a gross receipts tax in place of a sales tax, and the state rate has been 4.875% since July 2023. Counties and cities add their own on top. Your rate follows where the customer takes delivery. The $50 franchise tax lands only if your LLC elects to be taxed as a corporation, which most owners do not.

1. Get a federal EIN from the IRS. It is free and takes minutes online. Your bank will ask for it.
2. Register with the New Mexico Taxation and Revenue Department. It is free. That gets you a tax ID number through TAP. Anyone doing business here needs one to report and pay gross receipts tax.
3. Draft an operating agreement. New Mexico does not require one. Banks and investors do, and it helps hold your liability shield up if the LLC is ever challenged.
4. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025, so a New Mexico LLC has nothing to file. A final rule made that permanent on 14 August 2026. Only foreign firms registered here still report.

• Gross receipts tax registration is free. Skipping it is not, because failing to collect and remit the tax brings penalties and interest.
• Name reservation before you file costs $20 and holds it for 120 days. Most founders can skip it and file straight away.
• A certificate of good standing costs $25. Banks ask for one, and so does any state where you register to do business.
