What Makes a Good LLC Service for Massachusetts Founders

That $500 report falls due on the anniversary of your own filing, not on a date the whole state shares, which is why it is the bill founders here miss. We compared 6 formation services against what the statute actually charges.

Massachusetts asks for less about ownership than most guides claim. Section 12 never asks who the members are. It wants the name and address of each manager, if the company has managers at all. If it has none, it wants one person named who can sign filings. That is a name, not a home address.

The field that exposes a home based founder is a different one. Section 5 makes every LLC keep an office in the Commonwealth where its records live. Section 12 puts that office address on the public certificate. The office need not be a place of business. A founder working from a spare room publishes the spare room, unless another address goes in that box. Subsection (c) makes the annual report repeat it all. Whatever you put in that box, you republish every year.

The resident agent rule is narrower than it looks. Section 5 allows an individual living in Massachusetts, a domestic corporation, or a foreign corporation cleared to do business here. An LLC is not on that list. Ask what legal form your provider uses here.

There is no publication requirement here. That spares founders the newspaper bill New York imposes. Massachusetts takes it back on the anniversary instead.

What to Do After You File Your Massachusetts LLC

  1. Get your EIN from the IRS. It is free. It is issued online in minutes, and you need it to open a business bank account or hire anyone. Apply at IRS.gov, never through a paid form.
  2. Check who is named as your resident agent. Section 5 allows an individual living in Massachusetts, a domestic corporation, or a foreign corporation cleared to do business here. If a service supplied the agent, confirm the name on the filed certificate is the one you bought.
  3. Register with the Department of Revenue if you sell anything taxable. The sales and use tax rate is 6.25 percent. Registration runs through MassTaxConnect.
  4. Put the annual report on a calendar today. It is due on your LLC's anniversary and costs $500 under section 12(d). Subsection (c) makes it repeat what your certificate said. Treat it as a yearly reissue of the filing, not a receipt.
  5. Skip the beneficial ownership report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on 14 August 2026. A domestic Massachusetts LLC files nothing. A letter demanding a fee to file one is a scam, and FinCEN says so.
  6. Write an operating agreement anyway. Massachusetts does not require one. Banks ask for it. It is also what a court reads when someone argues that you and your LLC are the same thing.

Massachusetts LLC Tax Overview

Massachusetts taxes most personal and pass through income at a flat 5 percent. A 4 percent surtax sits on top. The threshold moves every year, so the round $1 million figure repeated across the web is out of date. For tax year 2026 the Department of Revenue puts it at $1,107,750. There is no franchise tax here. You would hardly notice. The $500 annual report already costs more than most states charge in franchise tax.

  • The $500 annual report, every year. Section 12(d) prices it the same as the certificate. Year ten costs what year one did, whether the company grew or sat still.
  • The anniversary deadline nobody shares. Your due date comes from the day you filed. No partner, accountant or forum thread can tell you when yours falls. Miss it and the Commonwealth starts down the road to administrative dissolution.
  • The address you publish twice. The section 5 office address goes on the certificate, then on every annual report after. Changing it later is another filing.
  • Rhode Island is closer than it looks. Over five years Rhode Island costs roughly $150 less than Massachusetts once its $400 minimum tax is counted. A founder shopping New England on the filing fee alone is reading the wrong number.
