What Makes a Good LLC Service for Indiana Founders

Indiana charges no franchise tax and asks for no general state business license. The Business Entity Report costs $32 on INBiz and falls due every two years, not every year. The same report filed on paper costs $50. That is $18 for an envelope.

Spread across those two years, Indiana costs about $16 a year. Illinois charges $75 every single year. Ohio asks for no report at all, so Indiana is cheap here without being the cheapest.

Indiana taxes pass-through profit at 2.95% for 2026, and the rate drops to 2.90% in 2027. Be careful where you read that. The Department of Revenue business tax page still prints 3.23%, a rate that stopped applying years ago, while its current rates page carries 2.95%. One agency, two pages, two answers.

Because Indiana asks for no member or manager names on the Articles of Organization, the privacy is not the thing a service sells you. The registered agent address is.

What to Do After You File Your Indiana LLC

  1. Get your EIN from the IRS. It is free and it issues in minutes online. You need it before a bank will open an account for the company. Apply at IRS.gov and pay nobody for it.
  2. Keep a registered agent with an Indiana street address. The state is explicit that a business cannot serve as its own registered agent. P.O. boxes do not qualify either.
  3. Write an operating agreement. Indiana does not require one. Your bank will ask anyway. It is what keeps your money and the company's money apart if anyone argues the point.
  4. Diary your Business Entity Report today. The first falls due two years after you register, on your registration date. You have until the end of that month to pay. It costs $32 on INBiz. Your exact date sits on the state Business Search.
  5. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on 14 August 2026. A domestic Indiana LLC files nothing. A letter asking for a fee to file one is a scam, and FinCEN says so.
  6. Register with the Department of Revenue if you sell taxable goods or services. You need a Retail Merchant Certificate. Get it before your first sale.

Indiana LLC Tax Overview

Indiana taxes pass-through profit at 2.95% for 2026, falling to 2.90% in 2027. There is no franchise tax, no capital stock tax and no inventory tax. Read it off the Department of Revenue current rates page. Its business tax page still shows an old 3.23% figure. Two state pages disagree.

Hidden Costs to Watch Out For in Indiana

  • There is no late fee, and that is the trap - Indiana charges nothing on a past due report. No bill ever arrives to nag you. The state dissolves the company instead.
  • Coming back costs weeks, not only money - Reinstatement needs a tax clearance from the Department of Revenue first. Nothing moves until it clears. Indiana says that takes four to six weeks.
  • Your name is held for 120 days - Indiana protects your business name for 120 days after dissolution. After that it is anyone's.
  • Paper costs more every time - The report is $32 on INBiz. Paper costs $50. Indiana says 90% of paper forms get rejected for errors.
  • Dissolved more than five years means paper only - Indiana does now accept those. The application cannot be filed online.
