What Makes a Good LLC Service for Idaho Founders

Idaho's Certificate of Organization asks for one governor. That word is doing a lot of work. The state's own form says it does not need to know whether the person is a member or a manager. A member managed LLC names a member, who is an owner. A manager managed LLC names its manager. Idaho never asks whether that manager owns any of the business. The annual report is thinner still, one name and no address.

Since 1 July 2026 there is a second door. House Bill 738 lets you show your commercial registered agent's street and mailing address as your principal office. Two things have to be true. You attest the company has no location other than a home, and the agent consents. It is already a checkbox on the form. So if you work from the kitchen table, ask a provider this before you pay, and compare the ones we rank for registered agent service in Idaho.

The rest of Idaho is cheap and quiet. The annual report costs nothing, every year. Few states match that. Reinstating a dissolved company runs $30, not the punishing figures some states charge. And the $100 above is the same $100 on every invoice, so compare only the part a provider keeps.

What to Do After You File Your Idaho LLC

  1. File your annual report every year, before the end of the month you formed in. It costs nothing. Miss it and the Secretary of State may open a dissolution proceeding, then serve you notice. Your 60 days to fix it run from that notice. The deadline people picture, 60 days after the report was due, is not the one in the statute.
  2. Apply for an EIN from the IRS. It is free. You need it for a bank account, for employees, and for taxes. The online application issues the number at once.
  3. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on 14 August 2026. A domestic Idaho LLC files nothing. Only companies formed abroad still report. A letter asking for a fee to file one is a scam, and FinCEN says so.
  4. Register with the Idaho State Tax Commission. Do it if you will collect sales tax or hire anyone. Registration is free through the Commission's business registration portal.
  5. Check your city. Idaho runs no general state business licence. Boise, Meridian and Idaho Falls each have their own rules. Call the city clerk before you open.
  6. Write an operating agreement. Idaho does not require one. The Secretary of State will not even accept it for filing. Banks ask anyway, and a court reads it when somebody tests your liability shield.

Idaho LLC Tax Overview

Idaho taxes the profit that reaches you at 5.3 percent. The first $4,811 of taxable income is taxed at zero for a single filer, and the first $9,622 for a married couple. That rate has fallen twice since 2023. The Tax Commission has not posted a 2026 schedule yet, so 5.3 percent is what the statute sets for tax years starting on or after 1 January 2025. There is no franchise tax on an LLC taxed as a partnership or a disregarded entity. Idaho does levy one on corporations, so an LLC that elects C corporation treatment lands under a different rule. A partnership taxed LLC also owes $10 per partner to the Permanent Building Fund. It is small, and people forget it.

Hidden Costs to Watch Out For in Idaho

  • The $20 paper surcharge - The $100 fee is the online price. Paper adds a $20 manual processing fee, so the same certificate costs $120 by mail. Services all file electronically. That is one quiet reason the quoted number is $100.
  • Expedited service, $40 - Read what it buys. The surcharge covers evidence of filing within eight working hours. It does not promise approval. Same day costs $100 more, and the request must reach the state by 1 p.m. Mountain.
  • Reinstatement, $30 - Idaho can dissolve an LLC that skips a report. You apply to reinstate for $30 online and file what you missed. Paper reinstatement is by request only.
  • Name reservation, $20 - It holds the name for 120 days. That is the online price. On paper it doubles to $40.
  • Foreign registration, $100 - An out of state LLC pays the same $100 a new Idaho company pays. On paper it is $120.
  • Local option sales tax - The state rate is 6 percent. But 23 resort cities add their own on top. Sell in Ketchum, Sun Valley, McCall or Sandpoint and your invoice is not 6 percent.
